Status of the Association

adopted at the 41st General Meeting held on the 15th June 2006

Section 1:Scope

Clause1
This Association's name in Chinese is "澳門建築置業商會". The Portuguese verson is "ASSOCIACAO DE CONSTRUTORES CIVIS E EMPRESAS DE FORMENTO PREDIAL DE MACAU", whereas the English name is "MACAO ASSOCIATION OF BUILDING CONTRACTORS AND DEVELOPERS".

Clause2
Objectives: to uphold the 'One-country Two-systems' principle, to cherish the Motherland and Macao, to promote fraternity and unity amongst members, to facilitate mutually beneficial business activities, to protect members' legitimate rights and privileges, to contribute to the stability and prosperity of Macao for the Government of the Macao SAR.

Section 2:Membership Guidelines

Clause4
There are two categories of memberships,Ordinary and Life.Each of these membership could be either individual or corporate.
The admission criteria of each of these memberships are as follows.

  1. Corporate members: companies, which are in possession of valid licenses procured in Macao to engage in building and construction activities as well as real estate transactions or any such related businesses, are eligible to register as our corporate members. Each corporate member shall appoint one representative. In the event of change of representative, the corporate member shall apply to the Association in writing.
  2. Individual members: building contractors, developers or technical personnel who are registered with the " Department of Land, Public Works and Transport" of Macao are eligible to apply for individual membership.

Clause5
Both corporate entities and individuals shall be admitted as our members with the recommendations and references of two current members and the approval of the Executive Committee.

Clause6
Members are entitled to the following privileges:

  1. voting rights and eligibility of being and offoce bearer of the Association upon completion of the first six months of membership;
  2. rights to offer criticisms and suggestions;
  3. special entitlements and privileges of participation in educational and recreational activities organized by the Association.

Clause7
Members are obliged to:

  1. adhere to the statutes of and the resolutions adopted by the Association;
  2. promote the Association's activities and facilitate cooperation among members;
  3. settle membership entrance fees and annual dues.

Clause8

  1. Upon being admitted into the Association, ordinary members shall settle their membership registration dues and annual fees for that particual year without delay. Subsequently, members shall settle their annual fees in January each year. Members who fail to do so shall receive a reminder and the membership will be revoked automatically after a three-month grace period.
  2. Life members shall pay the membership fees within two weeks of being into the Association. Life corporate membership will remain in force even if the corporate entity ceases to exist, on accountof insolvency, termination of business or any other reason. In the event of an individual life member's death, the Association shall maintain the membership records of the deceased, upon completing the due verification process.

Clause9
Members who are found to be in violation of the Association's station, or committing a criminal offence which brings the Association into disrepute, shall be faced with a reprimand, a warning, or revocation of membership, depending on the serverity of the violation. Should a dispute arise on this issue, the matter will be referred to the Supervisory Committee.

Section3 Organizational Structure

Clause10
The General Assembly is the highest decision-making entity of the Association.Its terms of authonity are as follows:

  1. to draft and amend the Statutes of the Association;
  2. to elect the President and the Vice Presidents of the Association, as well as the Members of the Executive and Supervisory Committees;
  3. to formulate and implement the Association's strategic plans, missions, as well as other major policies and decisions.
  4. to evaluate and endorse the reports submitted by the Executive and Supervisory Committeess.

Clause11
The Association Shall have one President and four six Vice Presidents, who shall be elected by the General Assembly. The President of the Association shall assume the leadership role of the Association and represent it externally. The Vice Presidents of the Association shall assist the President and stand in for the President in case of his/her absence. The President and the Vice Presidents are eligible to the general right of the audience and have the voting rights in the Executive Committee Meetings, the Executive Committee for Administrative Affairs Meetings, and the joint meeting of the Executive and Supervisory Committees.

Clause12
The President of the Association can convene two joint meetings per annum, attended by the President, the Vice Presidents, the Chairpersons and the Vice Chairpersons of the Executive and Supervisory Committees, wherein the Chairperson of the Executive Committee shall report on the progress in the implementation of the Association's plans and mission.

Clause13
When the General Assembly is in recess, the Executive Committee becomes the highest decision-making body of the Association. The Executive Committee consists of 37 to 40 members elected by the General Assembly. Once finalized, the number of members of the Executive Committee shall stay fixed for that term. There shall be no re-election in case of vacancy that may arise out of any circumstances. The scope of the Executive Committee is as follows:

  1. implementation of resolutions adopted by the General Assembly;
  2. planning of the Association's development;
  3. reporting and making recommendations to the General Assembly;
  4. convening General Assembly Meeting in accordance with the Statutes.

Clause14
The Executive Committee comprises of 1 Chairperson, 4 or 6 Vice Chairpersons, and 32 or 34 members. The Chairperson of the Executive Committee shall be responsible for the Association's internal affairs, executing the Association's operations, and converning Executive Committee Meetings. Should the Chairperson of the Executive Committee be absent, the Vice Chairperson(s) shall take over the responsibility of the former. The Executive Committee also comprises of a number of sub-committees, General Affairs, Liaison, Recretion, Welfare, Finance Public Relations, Board of Directors of Schools, and etc. The Chairperson, the Vice Chairpersons of the Executive Committee and the heads of the respective sub-committees are elected from amongst and by elected and by the Executive Committee . Should the Executive Committee deem it necessary, the Committee can appoint additional committees with additional staff support depending on the nature of tasks involved.

Clause15
The Executive Committee shall have 17 to 19 Executive Committee Members for Administrable Affairs who will be responsible for the day-to-day operations of the Association. The Chairperson, the Vice Chairpersons of the Executive Committee, and the heads of all the standing committees will become ex-officio Executive Committee Members for Administrative Affairs. Should there be a short fall in the stipulated number of Executive Committee Members for Administrative Affairs, Additional members shall be elected by the Executive Committee Members.

Clause16
The tenure of appointment of the President, the Vice Presidents of the Association, and the members of the Executive Committee shall be 3 years, and renewable thereafter. However, the President of the Association and the Chairperson of the Executive Committee can only serve a maximum of two consecutive terms.

Clause17
Upon completion of their tenue, the President and the Vice Presidents become Honorary President snd Vice Presidents for life as long as they are not members of the Executive and Supervisory Committees or their equivalence in the Association. Upon completion of their tenure, the Chairperson and the Vice Chairpersons of the Executive Committee become Honorary Chairperson and Vice Chairpersons for life as long as they are not members of the Executive snd Supervisory Committees or their equivalence in the Association. Upon completion of their tenure, Executive Committee Members for Admin's Mathre Affairs become Honorary Members of the Executive Committee as long as they are not members of the Executive and Supervisory Committees or their equivalence of the Association. The aforementioned honorary title holders are eligible to the general right of audience and participate in the Association's meeting.

Clause18
The Supervisory Committee is the monitoring body of the Association, which consists of 9 mwmbers elected by the General Assaubly. The term of appointment shall be three years, and renewable thereafter. However, their tenure of appointment is restricted to two consecutive terms.The scope of the Supervisory Committee is as follows:

  1. to monitor the Executive Committee's implementation of resolutions endorsed in the General Assaubly Meeting;
  2. to audit the finances and accounts of the Association,
  3. to attend the meeting of the Executive Committee and the Executive Committee for Administrate Affairs;
  4. Submit annual reports and financial reports to the General Assaubly.

Clause19
The Supervisory Committee shall have 1 Chairperson, 1 Vice Chairperson, 2 Standing Supervisors and 5 Supervisors. The Chairperson, the Vice Chairperson, and the Standing Supervisors shall be elected by and amongest tyhe members of the Supervisory Committee. Once the election is finalized, there shall be no re-election in case of vancancy that may arise out of any circumstances.

Clause20
Upon completion of their tenure, the Chairperson and the Vice Chairperson of the Supervisory Committee become Honorary Chairperson for life as long as they are not members of the Executive and Supervisory Committees or their equivalence in the Association. Upon completion of their tenure, the Standing Supervisors and the Supervisors become Honorary Supervisors as long as they are not members of the Executive and Supervisory Committees or their equivalence of the Association. The aforementioned honorary title holders are eligible to the general right of audience and participate in the Association's meeting.

Clause21
Shall a corporate member be elected as the President, the Vice President, the Chairperson or Vice Chairperson of the Executive and Supervisory Committees, the representative appointed by such corporate member shall first be approved by the Executive Committee at committee meetings.

Clause22
Persons with significant contributions to the Association shall be elected as Distinguished President, Distinguished Consultant, Honorary Consultant or Consultant should circumstances so warrant.

Section 4 Meetings

Clause23
The General Meeting shall be convened once every 18 months and it shall be called for by the Executive Committee. AGeneral Meeting can be convened with a written request signed by at least one-quarter of the total member of members, or as and when the Executive Committee deems fit. A notice has to be sent to members at least 5 days prior to the proposed date of the meeting. General Meetings are only valid if one-fifth of all members are present, and the presence of one-quarter of all members is required for Special Meetings. Should any corporate member be absent from a General Meeting, a representative fron his/her business may be appointed. An individual member could appoint any one present member as his/her representative. Each present member shall be appointed by only one to a maximum number of five other members for the election of committee heads. Valid proxies have to be sent and filed for reference before the General Meeting.

Clause24
Meetings of the Executive Committee or the joint meetings of Executive and Supervisory Committess shall be convened once a month. Such meetings shall be called for by the Chairpersons of the Executive and Supervisory Committees. Special meeting can be convened at any time when actions or incidents occer. Should circumstances so require, the Executive Committee for Administrate Affairs Meeting and the Supervisory Committee meetings can be convened. the presence of at least one-third of all members is required for these meetings.

Clause25
Resolutions passed at any meetings shall only become valid if approved by a vote of greater than one-half of those attending at any of the aforesaid meetings.

Clause26
Members of the Executive and Supervisory Committees shall attend meetings. After six consecutive absences without prior notification during a member's tenure, his/her position shall be considered withdrawn upon verification of the joint meetings of the Executive and Supervisory Committees. Absence notice in writing or e-mail sent prior to the meeting shall not be counted absence without prior notification.

Section 5: Fees

Clause27
Membership fees of the Association are as follows:

  1. Life corporate membership: one-time payment MOP10,000.
  2. Life individual membership: one-time payment MOP5,000.
  3. Ordinary corporate membership: MOP1,000 upon registration and MOP400 annual subscription.
  4. Ordinary individual membership: MOP500 upon registration and -- annual subscription

Clause28
Should cash flow crisis or circumstances arise, the Executive Committee shall organize fund-raising activities.

Section 6: Supplementary Provisions

Clause29
The Statutes of the Association shall be implemented subject to adoption at the General Meeting.

Clause30
The General Meeting shall have the right to amend the Statutes.

Clause31
The Statutes shall be interpreted by the President and the Chairpersons of the Executive and Supervisory Committees.

Chronlogy

1942
In order to promote communication between members of the construction industry and to protect their benefits, the Macau Construction Industry Union 澳門建築行 was established and members are mostly construction contractors. The address of the union is Rua da Cal and was later moved to Ave. Almeida. Ribeiro.

1947
The Macao Association of Building Constractors was established and was moved to Rua da Praia Grande. 區華焜 AU WA KUAN is elected as the 1st Chairperson and 崔德祺 TSUI TAK KEI,吳扶 NG FU as Vice Chairpersons.

1952
A property on No.9 Rua do Campo was purchased. It is now known as No. 103 Rua do Campo. This permanent address of the Association remains effective until today.

1968
The Association was renamed the "Macao Association of Building Contractors and Developers" in order to recruit more members from the building development industry. Leaders of the 19th General Meeting are: 何賢 HO YIN as Chairperson, 崔德祺 TSUI TAK KEI, 馮文根 FUNG MAN KAN, 陶開裕 TOU HOI IU, 張祖奇 CHEONG CHOU KEI as Vice Chairpersons.

1978
Re-construction of the building began in 1978. It was completed in 1982, and presenty known as the Macao Association of Building Contractors and Developers Building. The function room is on the 5th floor.

1980
The Board of Directors's Charter was adopted with 何賢 HO YIN as Chairperson, 崔德祺 TSUI TAK KEI, 馮文根 FUNG MAN KAN, 陶開裕 TOU HOI IU, 張祖奇 CHEONG CHOU KEI as Vice Chairpersons.

1983
何賢 HO YIN passed away. Mr Ho was a widely-respected, prminent public figure. As a devoted leader, his tremendous contributions to the Association during his tenure are recognized and praised. His death mark an irreparable loss to the industry and to society.

1984
崔德祺 TSUI TAK KEI was elected as chairperson.

1990
The Statutes of the Association were amended and the Association was renamed the "Macao Association of Building Contractors and Developers", also known as the "Macao Association of Building Contractors". It was officially re-registered with the government.

2000
The 37th General Meeting was held and the organizational structure reformed. The 32nd President, the Vice President and the Chairpersons of the Executive and Supervisory Committees was elected. President: --, Chairperson of the Executive Committee: --, and Chairperson of the Supervisory Committee: --.

2003
The 39th General Meeting was held. The 33rd President, the Vice President and the Chairpersons of the Executive and Supervisory Committees were elected. President:--, Chairperson of the Executive Committee: --, and Chairperson of the Supervisory Committee: --.

2006
The 41th General Meeting was held. The 34th President, the Vice President and the Chairpersons of the Executive and Supervisory Committees were elected. President:--, Chairperson of the Executive Committee: --, and Chairperson of the Supervisory Committee: --.

Objectives of the Association

Objectives: to uphold the One-country Two-systems' principle, to cherish the Motherland and Macao, to promote fraternity and unity amongst members, to facilitate mutually beneficial business activities, to protect members' legitimate rights and privileges, and to contribute to the stability and prosperity of Macao for the Government of the Macao SAR.

Major Tasks

Major Tasks of the Association include the following:

  1. To act as a bridge between the government and the construction and development industry, to propose legislative amendments and to improve unreasonable policies, in order to strive for the benefits and the development of the industry and the promotion of the Macao economy;
  2. To support charity activities and first-aid emergency works, to harmonize conflicts between members and the labor-owner relationship, to set rates for construction workers and to widen social service networks;
  3. To participate in special committees or advisory committees set up by the government or any franchised companies, to organize delegations, events for the promotion of construction and industrial safety, as well as employment and vocational training courses together with the relevant government departments and private associations.
  4. To Organize banquets on festivals and special occasions, to award scholarships to members' children, to arrange travels and leisure activities, to collect statistice and information for future surveys and newsletters.
